Board of Directors Meeting Minutes April 21, 2008

Call to order

The meeting was called to order at 1:00 PM (EDT) on Monday, April 21, 2008 by President David Rotholz.

Attendance

Association Business

Acceptance of Minutes

James Gardner presented the minutes from the last Board of Directors meeting.

M/S/P (Gomez/Eidelman): Unanimously to accept the minutes with technical revisions from the March 17, 2008 Board of Directors meeting.

Financial Report

James Gardner reviewed the financial report for the first quarter (Jan–March) of 2008. He presented the comparative balance sheets for March 31, 2008 and 2007, the cash projections for April thru December 2008, and the profit and loss statement at March 31, 2008. The current excess of revenues over expenditures for the year is $1,151,656. When compared to March 2007, our revenues increased by $431,550 while our expenditures increased by $306,549 a positive change of $125,001. The total fund balance of the organization stands at $2,609,489.10.

Investment Discussion

Doreen Croser reviewed the current AAIDD investment policy and discussed the current allocation of the investment portfolio among fixed income investments and mutual funds. Because of changing market conditions and our increased cash position resulting from the Associations' financial 2007/2008 performance, our investment advisor suggested that the Association invest $100,000 in zero coupon bonds.

M/S/P (Gardner/Eidelman): unanimously that we invest $100,000 in zero coupon bonds as described by our investment advisor, so that we have two zero coupon bonds of approximately $50,000 each maturing on November 15, 2020 and 2021 respectively.

Terminology and Classification Committee Charge

Board members discussed and clarified the charge given to the Terminology and Classification Committee concerning the definition of intellectual disabilities, and possibly, the definition of developmental disabilities, for the 2009 Manual on Terminology and Classification. The Board reaffirmed its original intent to define intellectual disability and not include a discussion of developmental disability in the 2009 Manual on Terminology and Classification.

Executive Director Update

Doreen Croser discussed the options concerning the hiring of a Director of Special Professional Programs that was not included in the original 2008 budget, alternatives for office space when the current lease expires in 2009. The consensus of the Board of Directors was to proceed with the new position given the positive financial performance in 2007 and projections for 2008. In addition, the Board indicated a preference for continued occupancy of the current office space under a new five year lease agreement.

Membership Committee Report and Discussion

Board members discussed the preliminary report from the Membership Committee regarding membership criteria in the association. The consensus of the board members was to invite the members of the Membership Committee to present their recommendations to the board in the near future.

Strategic Plan

Joanna Pierson distributed a listing of work tasks embedded in the current strategic plan. The Board urged all members to volunteer to work on specific tasks to further the implementation of the strategic plan.

2009 Convention Site

Joanna Pierson indicated that New Orleans would be the site for the 2009 annual meeting. Sharon Gomez has volunteered to lead the local organizing committee. Information of hotel location and date of the meeting would be provided during the 2008 meeting in Washington, DC.

2008 Convention Report

Steve Eidelman reported on the preparation, plans, and projections for the 2008 annual meeting. Board members concurred on the need to increase sponsors and registration

Multicultural Action Group Plan

Members reviewed, discussed, and accepted the plan as presented.

Other Division and SIG business

Board members agreed with the recommendation by the Gerontology Division that its election be postponed and that the Emergency Services Action group seek additional input on the PSA communication.

Position Statement Project Update

The update will be presented at the next meeting of the Board of Directors.

The meeting adjourned at 2:16 with a strong agreement that Board members would forward their interests in engaging in strategic plan work tasks.

Association Business

Annual Financial Audit Report

Stuart Goldman, CPA presented the annual Independent Auditor's Report and Management Letter. The Association completed the fiscal year (December 31, 2007) with an increase in total assets of $322,174 over the previous year. Net assets of the Association as of December 31, 2007 are $1,457,834. Board members asked some technical questions concerning the audit and concluded by thanking the Association's management for its hard work and successful financial performance.

Investment Report

Michael C. Levin presented a review of the Association's investment performance this past year. After reviewing the performance of the bond funds, the money market funds, and the mutual funds, Mr. Levin suggested that the Association rebalance its mutual fund accounts to maintain the recommended allocation across the various sector funds.

M/S/P (Wehmeyer/Bersani): Unanimously to instruct Mr. Levin to rebalance the mutual fund sector accounts as per his recommendation.

James Gardner presented the minutes from the last Board of Directors meeting.

M/S/P (Bersani/Shogren): Unanimously to accept the minutes with technical revisions from the April 21, 2008 Board of Directors meeting.

Conference Update

Doreen Croser reported on the planning and arrangements for the Annual Association meeting in Washington, DC. We are expecting over 400 participants at the Annual Association meeting.

PSA Update

Joanna Pierson reported on the response of the Emergency Services Action group to the Board's recommendations concerning the Public Service Communication. The consensus of the Board of Directors was to recommend use of the revised PSA as written.

Strategic Plan

Joanna Pierson announced modifications and changes in the identification of volunteers and staff identified with particular tasks in the work plan.
