Call to order

The meeting was called to order at 1:00 PM (EDT) on Monday, November 16, 2009 by President Joanna Pierson.

Association Business

Acceptance of Minutes: James Gardner presented the minutes from the last Board of Directors meeting.

M/S/P: (Shogren/Friedman): Unanimously, to accept the revised minutes from the October 19, 2009 Board of Directors meeting.

Merrill Lynch Investment Advisory Introduction. Mike Graham and John Allen introduced themselves and the Graham Investment Group to the Board members. Board members and the new advisors discussed the Association's investment policy, the risk to our fixed income treasury bonds if interest rates go up, and the advantages of using the KLD Social Index funds to meet the Association's commitment to socially responsible investing. Board representatives requested that the advisors prepare a report for the next Board meeting that would address the language of the current investment policy and allow for more flexible and less expensive investment options through the KLD Social Index funds. Board representatives agreed to further investigate the KLD Social Index fund and determine whether its investment guidelines were consistent with the Association's commitment to socially responsible investing. If the Board found consistency between the Association's investment criteria and the KLD Social Index Fund guidelines it would request the Graham Investment Group to propose new investment policy language that would allow the use of the KLD Social Index funds.

Financial Report. James Gardner reviewed the financial report for the period ending August 31, 2009. He reported on the Balance Sheet, the Profit and Loss statement, the Cash Flow Analysis and the narrative report. The balance sheet indicated a decrease in total fund balance of $345,387 from the same period last year. Revenue projections through the end of the year are about $242,000 below budget. Expenditure projections through the remainder of the year suggest a decrease of approximately $400,000 from budget. This difference in combined revenues and expenses suggests that the final budget may move from one with a projected deficit of $173,459 to a final performance with an excess of revenue over expenses of about $43,000. At the end of the financial report Doreen Croser did note that revenues did not seem to be holding. Sales, publication, and SIS state contracts are being delayed and drawn out into the next year.

Board Activity Commitment: Joanna Pierson reminded the Board members of their roles as the liaison with the various strategic task force groups. Reports from the task force will be considered at the January Board meeting. Board members should be prepared to take action on the various task force recommendations.

Discussion of Current Issues: Joanna Pierson opened a discussion on the feasibility of a focused discussion of selected content themes during Board conference calls. After Board discussion, the consensus was to revisit the idea in the larger context of Board action on the reports from the task force groups. The intent of the group was to retain opinion leadership in the field of IDD.

TASH Diversity Project: Joanna Pierson reported on the discussions with TASH concerning the diversity project. She indicated that the Multi-Cultural Special Interest Group (SIG) would be the liaison with TASH for the diversity project.

Sign on Petition – Resolution on Abuse. Doreen Croser indicated that the Aurora, Colorado Arc has requested that AAIDD sign on to a petition concerning abuse and neglect. Members noted that the issues were important to AAIDD but that the Association typically does not enter into resolutions and legal briefs at the state or local level. The Board suggested a conversation with Arc on the context for this request.

2010 Convention Update: Maria indicated that a call for papers would be issued in the next several weeks.

January Meeting Logistics: Joanna Pierson reminded Board members that the meeting would begin on January 8, 2010 at 1:00 pm and conclude on January 10th at 12:00 noon. Three major tasks must be accomplished during this time period: the regular January Board meeting, Executive Director candidate interviews, and discussion and decisions on the reports from the task force groups. Pierson requested that Board members forward her questions for the Executive Director Interview and evaluation ideas and items to make decisions on the implementation of task force group recommendations.

Acceptance of Minutes: James Gardner presented the minutes from the last Board of Directors meeting.

M/S/P: (Shogren/Friedman): Unanimously, to accept the minutes from the November 16, 2009 Board of Directors meeting as presented.

Financial Report: James Gardner reviewed the financial report for the period ending August 31, 2009. He reported on the Balance Sheet, the Profit and Loss statement, the Cash Flow Analysis and the narrative report. The balance sheet indicated a decrease in total fund balance of $284,634. Revenue projections through the end of the year indicate that costs will exceed revenue by approximately $50,000. This gap between revenue and expenses is due, in large part, to decreased revenues in the last quarter of the fiscal year.

Proposed budget for 2010: James Gardner and Paul Aitken presented an overview of the proposed 2010 budget. Board member discussed a number of specific items related to positions, the search for the new executive director, rental income, and the importance of technology and web management.

M/S/P: (Wehmeyer/Gardner): Unanimously, to accept the FY2010 budget as amended.

Nominations and Elections CommitteeReport: Steve Eidelman summarized the work of the Nominations and Election Committee. The Board accepted the recommendations and report from the committee,

Task Force Reports: Joanna Pierson summarized the status of the task force reports and distributed a matrix for the evaluation of the task force recommendations. The Board will review task force recommendations, look for break-through ideas, and consider the priorities, costs, and times frames for implementation of recommendations. Board members noted the energy and enthusiasm demonstrated by the task forces, their chairs and members.

2010 Annual Conference: Michael Wehmeyer discussed the planning for the 2010 meeting in Providence, Rhode Island. Plenary sessions have been scheduled. The local arrangements committee has displayed energy and motivation and the convention Planning Committee will review proposals in early 2010.

CEO Search Committee: Joanna Pierson and Michael Wehmeyer reported on the work of the CEO Search Committee, and the status of a model contract, final interview questions, and format for the final interviews. The committee conducted in-person interviews and has recommended a final list of candidates for consideration by the Board of Directors. Interviews with the candidates will be held on Saturday, January 9, 2010.
